Five (5) step acquisition process

1. Screening call

Speak to us.

We value your time and connect, and almost always are able to add value to what you are trying to achieve, whether or not your business is for us.

Time: 1-2 hours.

Requirements: Meeting (in-person or online)

2. High-level due diligence

Subject to your business prima facie meeting our acquisition criteria, we sign an NDA and work with you to get a better understanding of the financial and operating metrics of your business

Time: 1-2 weeks.

Requirements: 2 years historical P&L + 1 year budget, Balance Sheet... and call to discuss.

3. Term sheet: indicative bid and deal offer

Our Offer Term Sheet will include an indicative bid price, our valuation methodology, and an acquisition structure to suit what you are hoping to achieve. In over 90% of cases, at this stage you typically know whether you have a deal.

Time: 1-2 weeks.

4. Detailed due diligence

Financial and legal (sometimes technical, if required)

We typically engage third-party advisors at this stage to independently verify the information you have provided us, to confirm our perspectives on the business.

Time: 3-4 weeks.

Requirements: business, financial, tax and legal information.

5. Binding offer

Subject to satisfactory completion of due diligence, we work towards providing you with a Binding Term Sheet or Sale and Purchase Agreement.

Time: 3-4 weeks.

Completion

Steps 1-5 can be completed in as quickly as 3 months, and on average 4-5 months.
